Terms of Service
These Terms of Service ("Terms") are a binding agreement between you ("you" or "Customer") and Postbox, Inc., a Delaware C corporation with its principal place of business at 2261 Market Street, STE 46197, San Francisco, CA 94114, USA ("Postbox," "we," "us"), which operates the mailbox infrastructure service described in these Terms ("the Service"). By creating an account or using the Service, you agree to these Terms. If you use the Service for an organization, you represent that you are authorized to bind that organization, and "you" means that organization.
Postbox is in public beta: features change, and occasional disruption is expected.
The Service
Postbox provides API-first mailbox infrastructure: provisioning mailboxes on domains you control, and sending, receiving, storing, and reading mail on your behalf. You are responsible for how you configure and use it, and for the content you route through it.
Eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. You may not use the Service if you are barred from doing so under applicable law, or if you are located in, or ordinarily resident in, a country or territory subject to comprehensive sanctions, or are a party with whom we are legally prohibited from dealing.
Accounts and keys
You must provide accurate account details and keep your API keys secret. You are responsible for all activity under your account and keys, including activity by your team and your own end users. Tell us promptly at [email protected] if a key is exposed or you suspect unauthorized access, so it can be rotated.
Acceptable use
Your use of the Service is governed by our Acceptable Use Policy, which is incorporated into these Terms. In summary, you may not use Postbox to send unsolicited bulk mail (spam), phishing, malware, or any unlawful, deceptive, or abusive content, you must only send to recipients who expect your mail, and you must honor opt-outs. Sending that harms deliverability for other customers may be throttled or suspended, as described in that policy.
Your data and content
As between you and us, mail and content you process through Postbox remain yours. We store and process it only to provide the Service, as described in our Privacy Policy. Where we process personal data on your behalf, our Data Processing Agreement applies and forms part of these Terms. You are responsible for having all rights, consents, and legal bases necessary to send and store what you route through us, and for complying with laws that apply to your mail (including email, privacy, and consumer-protection laws).
Fees, billing, and renewal
Paid plans and metered overages are billed as shown on our pricing page. Payments are processed by our payment provider, Stripe; by subscribing to a paid plan you also agree to Stripe's terms. Fees are stated exclusive of taxes, and you are responsible for any applicable sales, use, VAT, or similar taxes.
Paid subscriptions renew automatically at the end of each billing period (monthly or yearly) at the then-current rate, until you cancel. You can cancel at any time from the billing area of your dashboard; cancellation takes effect at the end of the current billing period, and you retain access until then. Plan changes are prorated: upgrades are charged immediately for the remainder of the period, and downgrades apply a credit toward future charges. Except where required by law, fees already paid are non-refundable. The free tier hard-stops at its cap and never bills.
Availability
During beta the Service is provided without a formal uptime commitment or service-level agreement. We work to keep it reliable but cannot guarantee uninterrupted or error-free operation, and we may modify, suspend, or discontinue features.
Suspension and termination
You may close your account at any time. We may suspend or terminate access, in whole or in part, for breach of these Terms or the Acceptable Use Policy, for abuse or sending that threatens the platform, for non-payment, or where required by law. Where practical we will give notice, but abuse or security risks may require action without notice. On termination we will make reasonable efforts to let you export your data before deletion; sections that by their nature should survive termination (including fees owed, disclaimers, liability limits, and indemnities) survive.
Disclaimer of warranties
To the fullest extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any mail will be delivered.
Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or exemplary damages, or for lost profits, revenue, data, or goodwill, even if advised of the possibility. Our total aggregate liability arising out of or relating to the Service is limited to the greater of the fees you paid to us in the three months before the event giving rise to the claim, or one hundred US dollars (USD 100). These limits do not apply to liability that cannot be limited under applicable law.
Indemnification
You will defend, indemnify, and hold harmless Postbox and its officers, employees, and agents from and against any third-party claims, damages, liabilities, and reasonable legal costs arising out of or related to: the content you send, receive, or store through the Service; your use of the Service in violation of these Terms, the Acceptable Use Policy, or applicable law; or your infringement of a third party's rights.
Third-party services
The Service relies on third-party infrastructure and email providers (see our sub-processors). Your use of the Service must also comply with the applicable acceptable-use and anti-spam policies of those providers. We are not responsible for third-party services outside our control.
Export controls and sanctions
You must comply with all applicable export-control and economic-sanctions laws, including those of the United States. You represent that you are not located in a sanctioned territory, are not on any restricted-party list, and will not use the Service in violation of these laws.
Force majeure
Neither party is liable for failure or delay in performance (other than payment obligations) caused by events beyond its reasonable control, including acts of God, outages of upstream infrastructure or email providers, network failures, labor disputes, or governmental action.
Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. The exclusive venue for any dispute that is not subject to arbitration or a small-claims process is the state and federal courts located in San Francisco County, California, and each party consents to their jurisdiction.
Changes to these Terms
We may update these Terms as the Service evolves. Material changes will be posted here with a new "last updated" date and, where appropriate, notified to you. Continued use after a change takes effect means you accept it.
General
These Terms, together with the Acceptable Use Policy, Privacy Policy, and Data Processing Agreement, are the entire agreement between you and us regarding the Service and supersede any prior agreements on that subject. You may not assign these Terms without our consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. Notices to you may be given in-product or by email to your account address; notices to us should go to the contact below.
